Terms of Use
Effective Date: October 2026
Welcome to the ServiceTrade application, operated by ServiceTrade, Inc. (referred to herein as the “Platform”), together with our iOS- and Android-native mobile application (the “Mobile App,” and collectively with the Platform, the “Software”). Subject to these Terms of Use (this “Agreement”), ServiceTrade, Inc., a Delaware corporation (“ServiceTrade,” “we,” “us,” or “our”), provides access to and use of the Software. “You” are either (1) an individual accessing and using the Software on your own behalf, or (2) an employee, contractor, or other individual authorized by a ServiceTrade Customer to access and use the Software on that Customer’s behalf. For the avoidance of doubt, the terms and conditions governing ServiceTrade’s contractual relationship with each “Customer,” meaning the business or other legal entity that has entered into a separate Terms of Service agreement with ServiceTrade, are set forth in that Terms of Service agreement, and nothing in this Agreement is intended to supersede or modify that Terms of Service agreement.
PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST COMPANY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.
In addition, when using certain services, you will be subject to any additional terms applicable to such services that may be posted via the Software from time to time, including, without limitation, the Privacy Policy located at https://servicetrade.com/privacy-policy/. All such terms are hereby incorporated by reference into this Agreement.
We reserve the right to modify the contents of the Software at any time, including the features, availability, or operation of the Software, this Agreement, and any policies or notices posted through or in connection with the Software, at any time. We may provide notice of such changes by posting the updated terms within the Software or by other reasonable means. You are responsible for reviewing the then-current terms, and your continued access to or use of the Software following the posting or effectiveness of any changes constitutes your acceptance of the updated Agreement, EULA, and applicable policies. EACH TIME YOU USE THE SOFTWARE, THIS AGREEMENT AS IT THEN READS WILL GOVERN YOUR USE.
This Agreement is effective as of the date of acceptance by you.
Definitions
“Authorized User” means any natural person who is an employee, consultant, contractor, or agent of Customer and who is authorized by Customer to access and use the Software under Customer’s account solely for Customer’s ordinary internal business purposes (i.e., standard use of the Software’s user interface as designed, and expressly excluding any use of or access through APIs, SDKs, integrations, automated scripts, data extraction tools, or similar technical means) in accordance with the Documentation, and who has been assigned unique access credentials. For the avoidance of doubt, third-party developers, automated systems, AI agents, and any access through the ServiceTrade API are not “Authorized Users” and are governed exclusively by the Developer Terms of Service. Notwithstanding the foregoing, Customer’s own employees, consultants, contractors, or agents who develop, operate, or maintain Customer-Specific Tools (as defined in the ServiceTrade Developer Terms of Service) for Customer’s exclusive internal, non-commercial use are not required to be Authorized Users for purposes of such development, operation, or maintenance, and access to and use of such Customer-Specific Tools is governed by the ServiceTrade Developer Terms of Service.

You may not interrupt or attempt to interrupt the operation of the Software in any way and ServiceTrade reserves the right, in its sole discretion, to terminate access to or use of the Software at any time without notice. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICETRADE’S AGGREGATE LIABILITY TO YOU UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED $1,000 UNDER ANY CIRCUMSTANCES.

The Software is controlled by ServiceTrade from its offices located within the United States of America. ServiceTrade, Inc. is a Delaware corporation in the United States of America, and the Software has been designed to comply with the laws of the United States. If the Software is accessed from a location outside of the United States, it is done at your sole risk and discretion with the understanding that laws applicable in a foreign location may not be applicable to the Software. Enforcement and/or any action related to enforcement of this Agreement are governed by the jurisdiction of courts located in the State of North Carolina.
Dispute Resolution By Binding Arbitration: PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
a. Agreement to Arbitrate
This Dispute Resolution by Binding Arbitration section is referred to in this Agreement as the Arbitration Agreement. You agree that any and all disputes or claims that have arisen or may arise between you and ServiceTrade, whether arising out of or relating to this Agreement (including any alleged breach thereof), the Software, any advertising, any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify. Further, this Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf. You agree that, by entering into this Agreement, you and Company are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement. Notwithstanding the foregoing, this Arbitration Agreement shall not preclude either party from pursuing a court action for the sole purpose of obtaining a temporary restraining order or preliminary injunction in circumstances in which such relief is appropriate, including for the protection of intellectual property or Confidential Information; provided that any other relief shall be pursued through an arbitration proceeding pursuant to this Arbitration Agreement.
Prohibition of Class and Representative Actions and Non-Individualized Relief
YOU AND SERVICETRADE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND SERVICETRADE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSONS OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S), EXCEPT THAT YOU MAY PURSUE A CLAIM FOR AND THE ARBITRATOR MAY AWARD PUBLIC INJUNCTIVE RELIEF UNDER APPLICABLE LAW TO THE EXTENT REQUIRED FOR THE ENFORCEABILITY OF THIS PROVISION.
c. Pre-Arbitration Dispute Resolution
ServiceTrade is always interested in resolving disputes amicably and efficiently, and most concerns can be resolved quickly and to your satisfaction by emailing support at support@servicetrade.com. If such efforts prove unsuccessful, a party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute (Notice). The Notice to ServiceTrade should be sent to 5003 S. Miami Blvd., Suite 500, Durham, NC 27703 (Notice Address). The Notice must (i) describe the nature and basis of the claim or dispute and (ii) set forth the specific relief sought. If you and we do not resolve the claim within sixty (60) calendar days after the Notice is received, you or we may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by ServiceTrade or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or ServiceTrade is entitled.
d. Arbitration Procedures
Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Associations (AAA) rules and procedures, including the AAAs Commercial Arbitration Rules (collectively, the AAA Rules), as modified by this Arbitration Agreement. If there is any inconsistency between any term of the AAA Rules and any term of this Arbitration Agreement, the applicable terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration. The arbitrator must also follow the provisions of this Agreement as a court would. All issues are for the arbitrator to decide, including, but not limited to, issues relating to the scope, enforceability, and arbitrability of this Arbitration Agreement. Although arbitration proceedings are usually simpler and more streamlined than trials and other judicial proceedings, the arbitrator can award the same damages and relief on an individual basis that a court can award to an individual under the Agreement and applicable law. Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.
Unless ServiceTrade and you agree otherwise, any arbitration hearings will take place in Raleigh or Durham, North Carolina, or at another mutually agreed location, in accordance with the AAA Commercial Arbitration Rules. Any arbitration award may be confirmed and enforced in any court of competent jurisdiction, including the state or federal courts located in Wake or Durham County, North Carolina. The arbitrator shall not allocate the fees and costs incurred by the parties in connection with this arbitration. Each party shall bear an equal share of the arbitrator’s compensation and the AAA’s administrative fees, and each party shall bear its own attorneys’ fees and other costs and expenses (including the fees and expenses of its own counsel, experts, and witnesses) incurred in connection with the arbitration.
-
- Confidentiality
All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.
f. Severability
If a court or the arbitrator decides that any term or provision of this Arbitration Agreement (other than the subsection (b) titled Prohibition of Class and Representative Actions and Non-Individualized Relief above) is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified. If a court or the arbitrator decides that any of the provisions of subsection (b) above titled Prohibition of Class and Representative Actions and Non-Individualized Relief are invalid or unenforceable, then the entirety of this Arbitration Agreement shall be null and void, unless such provisions are deemed to be invalid or unenforceable solely with respect to claims for public injunctive relief. The remainder of this Agreement will continue to apply.
International Use; Export Controls
Use of the Software and the transmission of applicable data, if any, is subject to United States export controls. No software, content or data may be downloaded from the Software or otherwise exported or re-exported in violation of U.S. export laws. Recognizing the global nature of the internet, you agree to comply with all applicable local rules and laws regarding your use of the Software, including as it concerns online conduct and acceptable content.
Entire Agreement
This Agreement, together with any posted agreements, policies, or operating rules referenced herein, constitute the entire agreement between you and ServiceTrade regarding your use of the Software.
- Confidentiality
Severability
If any provision of this Agreement is unlawful, void or unenforceable, the remaining provisions of this Agreement shall remain in full force.

You may not assign this Agreement or the rights and obligations under this Agreement without the express prior written consent of ServiceTrade, which may be withheld in ServiceTrade’s discretion.
